In this highly visible role, you will report directly to the Head Group Legal / Deputy General Counsel and act as a trusted legal advisor to senior leadership and key corporate functions across the Group.Key Responsibilities:Lead and coordinate the legal workstream of domestic and cross-border M&A transactions, including acquisitions, divestments, joint ventures and other strategic investments, working closely with internal stakeholders and external advisorsDraft, review and negotiate a broad range of complex commercial agreements, including, joint venture arrangements, technology agreements, sales terms and conditions, and procurement and supply contractsAdvise on financing transactions, including bond issuances, syndicated and bilateral credit facilities, and provide legal support to the Treasury function on a wide range of financing-related mattersOversee and coordinate litigation, arbitration and other dispute resolution matters across the Group, including the management of external counselOversee the preparation and execution of Annual General Meetings and contribute to the legal review of the Company's Annual Report and Non-Financial ReportSupport the Head Group Legal / Corporate Secretary in matters relating to the Board of Directors, its committees and the Executive CommitteeYour profile:Master of Law degree and Swiss Bar admissionMinimum of 5+ years of relevant post-qualification experience, ideally gained in a leading law firm and/or the legal department of an international industrial companyDemonstrated experience in M&A and Swiss corporate law, ideally complemented by exposure to antitrust and sanction law as well as capital markets and stock exchange regulationsBusiness-oriented legal professional with strong judgment, a pragmatic mindset and the ability to balance legal risks with commercial objectivesExcellent project and stakeholder management skills, with experience interacting confidently with senior executives, Board members and key external stakeholdersDigitally savvy, with a strong interest in technology, AI-enabled solutions and modern ways of workingWhat we offer youAn innovative, vibrant and agile cultureExcellent social benefits (holidays, pension fund etc.)Access to a wide range of discounts on Everyday Shopping, Entertainment and LifestyleCentral workplace, only 5 minutes from Winterthur train stationSulzer is an equal opportunity employer.
